ARTICLE 1 : NAME
SECTION 1
The name of the organization is the JAPANESE ASSOCIATION OF CLINICAL LABORATORY PHYSICIANS, hereafter referred to as the Association.
SECTION 2
The address of the office of the Secretariat of the Association is as follows:

ARTICLE 2: OBJECTIVES
SECTION 1
The objects of the Association are to foster the standard of the quality of clinical laboratory physicians to educate them, and to increase their activities.
SECTION 2
To achieve the objects listed in Section 1 of this Article, the Association performs the following activities:
(1) Holding of the General Assembly, lectures, meetings;
(2) Publishing of bulletin and other publications;
(3) Any activities to be needed for achievement of the objects.
ARTICLE 3: MEMBERSHIP
SECTION 1
The Association consists of three memberships: Regular Membership, Associate Membership, and Honorary Membership.
(1) A Regular Member is: (A) a certified clinical laboratory physician, or (B) a clinical physician who satisfies the conditions in Article 3 of BY-LAWS and has finished the necessary procedures, subject to ratification by the Membership Committee.
(2) A medical student or medical doctor who is in the training to become a certified clinical laboratory physician, and also agrees with the objects of the Association, can apply to Associate Membership, through the necessary procedures.
(3) A regular member who has greatly contributed to the Association and is recommended by the Board of Directors, subject to ratification by the General Assembly, is admitted Honorary Membership.
SECTION 2
Applicants should apply in writing to the President in the application form for respective membership of the Association.
SECTION 3
Any member may withdraw from the Association by giving a written notice to the President in necessary form.
SECTION 4
Any member no longer eligible for membership by bringing considerable disgrace may be expelled from the Association, subject to the decision of the Board of Directors.
SECTION 5
Any member who fails to pay its Dues for more than two years and ignores reminding for the payment without sufficient reason, may be expelled from the Association, subject to the decision of the Board of Directors.
ARTICLE 4: ACCOUNTING
SECTION 1
All the expenses of the Association are paid by the Membership Dues and other revenues.
SECTION 2
The budget and settlement should be approved by the General Assembly.
SECTION 3
Membership Dues are shall pay Japanese \10,000 annually for Regular Members and \1,000 for Associate Members.
SECTION 4
Fiscal year of the Association starts on January 1st and ends on December 31st.
ARTICLE 5 : OFFICERS
SECTION 1
The Officers of the Association are the President, two Vice Presidents, several Executive Directors, several Directors, two Auditors. All the Officers should have Regular Membership.
SECTION 2
The President, who must be a (A) Regular Member, shall be elected when the total number of votes cast are more than 50 % of valid ballots by Regular Members, and shall be approved by the General Assembly through the decision of the Board of Directors.
SECTION 3
The President is to supervise the whole activity of the Association.
SECTION 4
The term of the President shall ordinarily be two years, but should not be more than two terms successively.
SECTION 5
(1) The Vice Presidents are appointed by the President.
(2) The Vice Presidents support the President and may deputize if the President is temporarily unable to act or if the office of the President becomes vacant because of death, resignation or incapacity.
SECTION 6
(1) The Directors are appointed by the President. The Directors support the President and serve for the Association. The term of the Directors shall be four years. Half of the Directors shall be changed every two years and should not be elected successively.
(2) The Executive Directors include the Treasurer, the Directors and Chairholder of respective Committees.
SECTION 7
The Auditors shall be approved by the General Assembly through the decision of the Board, after elected by the vote of Regular Members. The Auditors serve for the Association under the Section 59th of the Civil Code.
SECTION 8
(1) Committees may be established by the Association in order to fulfill the purpose in SECTION 2 of ARTICLE 2.
(2) The President shall appoint the Chairholder and each member of the Committee from the Regular Members.
ARTICLE 6 : MEETINGS
SECTION 1
Meetings so called in the Association are the General Assembly, meetings of the Board of Directors, Executive meetings of the Executive Directors, and meetings of the respective Committees.
SECTION 2
General Assembly should be held at least once a year. Resolutions of the General Assembly shall be in effect when majority of the attendance agrees.
SECTION 3
The President shall call a meeting of the Board of Directors and of the Executive Directors if needed.
ARTICLE 7 : SUPPLEMENTARY RULES
SECTION 1
The Association may have a Promotion Council, consisting of organizations which recognize the objects of the Association and pay the designated dues.
SECTION 2
This Constitution can be amended by the approval of the General Assembly after the decision of the Board of Directors.
SECTION 3
By-laws of this Constitution shall be given through the decision of the Board of Directors.
BY-LAWS
CHAPTER 1
Constitution and By-laws are valid from January 1st of 1996.
CHAPTER 2
The current Officers shall serve until the new Officers be elected.
CHAPTER 3
The term of (B) Regular Member means those who have held the license of medical practice for more than five years, and are concerned with clinical pathology/laboratory medicine (The career must be proved in writing by the head of the organization where the applicant belongs to), and meet at least one of the conditions as follows.
(1) The applicant must be a member of the Japan Society of Clinical Pathology or hold the license of certified, physician which is issued by Constituent Societies of the Association of Certified Physicians, and submit the related documentation.
(2) The applicant must have academic achievements concerning with clinical laboratory medicine or clinical pathology and submit the related documentation.
(3) The applicant must be a medical doctor or advisory consultant physicians, belonging to the registered clinical laboratory, and submit the related documentation. |
